This agreement is jointly signed by the payment system and you, and has contractual legal effect.

Please read and fully understand all terms carefully, especially those that exempt or limit liability, dispute resolution and applicable law clauses. Terms that exempt or limit liability may be displayed in bold font, and you should read them carefully. Unless you have read and accepted all terms of this agreement, you have no right to use this service. Your use of this service is deemed to have read and agreed to be bound by this agreement. 1. Definitions

Unless otherwise specified, the following terms are defined in this agreement as:

1.1 Merchant Account: The account you use to log in and operate the merchant platform. After you successfully apply for a merchant account, the payment system will send an email to your contact email address specified in this agreement, informing you of your merchant platform login account and initial password. You can modify this initial password in the merchant platform, and you can also set a corresponding merchant key for this login account in the merchant platform as needed to query and operate the payment system merchant account.

2. Service Content

2.1 Service scenarios and functions. The payment system provides you with monetary fund transfer services. When users purchase your goods or services, they can complete transactions through this service. The specific applications of this service include WAP payment, H5 payment, etc.

3. Rights and Obligations of the Payment System

3.1 Payment system construction. The payment system is responsible for the construction, operation and management of the payment system and ensures the security of the system.

4. Your Rights and Obligations

4.1 Account opening and identity verification. When applying to open a payment system merchant account, you should truthfully provide relevant personal information to the payment system. You should ensure the accuracy, authenticity and completeness of the submitted materials.

5. Service Fees and Transaction Settlement

5.1 Payment system handling fees (including tax)

You should pay payment system handling fees to the payment system for using this service. The payment system will deduct a certain percentage of payment handling fees from each of your transaction payments.

6. Confidentiality Terms

Except as otherwise provided in this agreement, without the written consent of one party, neither party may disclose the contents of this agreement, user personal information, user payment information, interface technology, security protocols and certificates to third parties.

7. Applicable Law and Dispute Resolution

7.1 The interpretation, application, dispute resolution and all other matters of this agreement shall be governed by the laws of the jurisdiction where the service is provided.

7.2 In case of any disputes arising from this agreement, the parties should negotiate amicably. If negotiation fails, the parties should submit the dispute to the competent court where the payment system is located for litigation.

8. Agreement Validity Period and Early Termination

8.1 The validity period of this agreement is subject to the time confirmed by the merchant platform, which is valid for a long time by default.

8.2 Each party has the right to terminate this agreement early based on their respective operational needs without bearing any legal responsibility. If early termination of this agreement is required, the initiating party should notify all parties in writing or by email one month in advance.
